VENDOR TERMS & CONDITIONS
ZAMBIAN FARM PRODUCE MARKET LIMITED
Owner of the Platform: Zam Farm To Market (ZFTM)

1. Application
These Vendor Terms apply to all users who register as:
- Farmers
- Aggregators
- Input Suppliers
(“Vendor”, “Seller”, “you”)
These Terms are in addition to the general Platform Terms & Conditions.
If there is conflict, these Vendor Terms prevail for vendor matters.
2. Marketplace Role
You acknowledge that:
- ZFTM is not your partner, agent, distributor, or reseller.
- ZFTM is not the owner of goods listed.
- You are solely responsible for goods listed and sold.
You operate as an independent seller.
3. Vendor Obligations
You must:
- Provide accurate listings;
- Declare correct grade and specifications;
- Deliver correct quantity;
- Honour confirmed orders;
- Maintain lawful operations under Zambian law;
- Maintain required licences and registrations.
You must not:
- Circumvent the platform;
- Direct buyers off-platform;
- Manipulate pricing unfairly;
- Use misleading claims.
4. Product Liability
You are solely responsible for:
- Product defects;
- Contamination;
- Unsafe goods;
- Regulatory breaches;
- Expired or substandard inputs;
- Misrepresentation of grade or quality.
You agree to fully indemnify ZAMBIAN FARM PRODUCE MARKET LIMITED against:
- Consumer claims;
- Regulatory fines;
- Product liability suits;
- Health claims;
- Recall costs;
- Legal expenses.
ZFTM may deduct such losses from your payouts.
5. Commission & Fees
You agree that ZFTM may charge:
- Subscription fees;
- Transaction commissions;
- Listing fees (if introduced);
- Promotional fees.
Commission is deducted before payout.
You agree not to dispute commission once a transaction is completed through the Platform.
6. Buyer Fees & Mobile Money Charges
You acknowledge that:
- Buyers may be subject to platform service fees;
- Mobile money providers (MTN, Airtel, others) apply independent charges;
- Carrier charges are not controlled by ZFTM.
You may not misrepresent these charges to buyers.
7. Escrow & Payout Protection
Funds may be held until:
- Delivery confirmation;
- Dispute window expiry;
- Resolution of disputes.
ZFTM may:
- Withhold payouts;
- Reverse payouts;
- Deduct refunds;
- Recover chargebacks;
- Freeze balances during investigation.
ZFTM may offset any amounts owed by you from future payouts.
8. Refund Responsibility
If a buyer is entitled to a refund due to:
- Non-delivery;
- Material misdescription;
- Significant quality variance;
- Product defect;
You are responsible for refunding the amount.
ZFTM may process the refund and deduct from your balance.
9. Taxes
You are solely responsible for:
- VAT registration (if applicable);
- Issuing tax invoices;
- Filing returns;
- Paying applicable taxes.
ZFTM is not responsible for your tax compliance.
10. Record Keeping
You must maintain:
- Origin records;
- Harvest/production dates;
- Quality test results (where applicable);
- Sales documentation.
ZFTM may request supporting documentation.
11. Suspension & Termination
ZFTM may suspend or terminate your vendor account for:
- Fraud;
- Misrepresentation;
- Repeated disputes;
- Regulatory breach;
- Safety concerns;
- Off-platform circumvention.
Outstanding obligations survive termination.
12. Limitation of Platform Liability
ZFTM shall not be liable for:
- Loss of profit;
- Product spoilage;
- Transport damage;
- Buyer default;
- Payment reversals;
- Regulatory penalties imposed on you.
Your sole recourse is against the buyer or transporter where applicable.
13. Dispute Resolution
Disputes between Vendor and ZFTM shall follow the dispute resolution clause in the Platform Terms & Conditions.
14. Governing Law
These Vendor Terms are governed by the laws of the Republic of Zambia.
