1. Acceptance of Terms

By accessing or using the website zamfarm2market.com (the “Platform”), creating an account, listing goods or services, or transacting through the Platform, you agree to be legally bound by these Terms & Conditions (“Terms”) and all referenced policies, including:

  • Privacy Policy

  • Return & Refund Policy

  • Vendor Standards

  • Shipping & Transport Policy

  • Fees & Payouts Policy

  • Prohibited Items Policy

If you do not agree, you must not use the Platform.


2. About the Platform

The Platform known as Zam Farm To Market (ZFTM) is owned and operated by ZAMBIAN FARM PRODUCE MARKET LIMITED.

ZFTM operates as a digital marketplace facilitator connecting independent buyers and vendors, including:

  • Farmers

  • Aggregators

  • Input suppliers

  • Transporters

Unless expressly stated:

  • ZFTM is not the seller of goods.

  • ZFTM does not take title or possession of goods.

  • Contracts of sale are solely between buyer and seller.

  • Contracts of carriage are solely between users and transporters.

ZFTM acts only as a neutral technology intermediary.


3. Eligibility & Registration

You must:

  • Be at least 18 years old;

  • Have legal capacity under Zambian law;

  • Provide accurate and complete information.

ZFTM may require identity verification (KYC), including:

  • NRC or passport

  • PACRA registration documents

  • TPIN where applicable

  • Farm/business location

  • Vehicle and insurance documentation for transporters

ZFTM reserves the right to approve, reject, suspend, or terminate accounts at its discretion.


4. User Roles

Buyer

Purchases goods or services listed on the Platform.

Farmer (Seller)

Lists produce harvested or owned.

Aggregator (Seller)

Consolidates and resells produce.

Input Supplier (Seller)

Sells agricultural inputs.

Transporter

Provides logistics services.

Users must not misrepresent identity, role, or authority.


5. Listings, Product Standards & Seller Responsibility

Sellers are solely responsible for:

  • Accuracy of listings

  • Legality of goods

  • Quality, grade, and condition

  • Compliance with Zambian laws

  • Proper storage and packaging

ZFTM does not guarantee listing accuracy.

Perishable goods must be:

  • Fresh

  • Properly stored

  • Free from contamination

  • Lawfully produced

Misrepresentation may result in:

  • Listing removal

  • Order cancellation

  • Refunds or chargebacks

  • Withheld payouts

  • Suspension or termination


6. Seller Warranties & Indemnity

Each seller represents and warrants that:

  • They have legal authority to sell the goods;

  • Goods comply with applicable Zambian standards;

  • Grade, moisture, and weight declarations are accurate;

  • Goods are safe and fit for intended purpose.

The seller agrees to indemnify and hold harmless ZAMBIAN FARM PRODUCE MARKET LIMITED against:

  • Consumer claims

  • Product liability claims

  • Regulatory fines

  • Health or contamination claims

  • Transport damage caused by improper packaging

  • Fraud or misrepresentation

ZFTM may deduct losses, refunds, chargebacks, or legal costs from seller payouts.


7. Prohibited Items

Prohibited listings include:

  • Illegal wildlife or bushmeat

  • Hazardous or banned chemicals

  • Controlled substances

  • Firearms or ammunition

  • Counterfeit goods

  • Stolen property

  • Any goods prohibited under Zambian law

ZFTM may remove listings without notice.


8. Orders & Acceptance

An order is accepted when:

  1. Seller confirms availability; and

  2. Payment authorisation is successful.

Buyers must inspect goods upon delivery.

Disputes must be raised within:

  • 48 hours (standard goods);

  • 24 hours (perishables).

Failure to dispute within the applicable window constitutes acceptance.


9. Transport & Risk

Transport may be:

  • Arranged by seller;

  • Arranged by buyer;

  • Booked via Platform transporter.

ZFTM is not a carrier and bears no responsibility for physical carriage.

Risk passes as specified at checkout or in listing terms.

Transporters warrant valid licensing and insurance.


10. Pricing, Platform Fees & Transaction Charges

Prices are set by sellers.

ZFTM may charge:

  • Vendor subscription fees

  • Seller transaction commissions

  • Buyer service/platform fees

  • Logistics facilitation fees

Buyers acknowledge that service or platform fees may be added at checkout.

Mobile money providers (including MTN, Airtel, or others) apply their own independent transaction charges according to their tariff schedules.

ZFTM is not responsible for:

  • Mobile money transaction fees

  • Carrier-imposed charges

  • Network delays

  • Withdrawal fees

  • Reversal or refund delays caused by carriers

Transaction Cap:

Each payment is capped at ZMW 100,000 unless pre-approved.


11. Payments, Escrow Holding & Platform Protection

Payments are processed through third-party gateways.

Funds may be held in an escrow-style mechanism until:

  • Delivery confirmation;

  • Expiry of dispute window;

  • Dispute resolution.

ZFTM may withhold, delay, adjust, or reverse payouts where:

  • A dispute is raised;

  • Fraud is suspected;

  • A chargeback is initiated;

  • Regulatory checks are pending;

  • Seller breaches policy.

ZFTM may recover refunds, reversals, fraud losses, or legal costs from seller balances.

ZFTM does not guarantee payment finality where mobile money reversals or regulatory intervention occur.


12. Refunds & Disputes

Refunds are governed by the Return & Refund Policy.

Perishable goods are non-refundable once accepted.

Non-perishable goods may qualify for refund for:

  • Non-delivery

  • Material misdescription

  • Significant weight or quality variance

Claims must include evidence.

ZFTM may determine allocation of funds where parties cannot agree.


13. Compliance with Zambian Law

Users must comply with:

  • Competition and Consumer Protection Act (2010)

  • Electronic Communications and Transactions Act (2021)

  • Data Protection Act No. 3 of 2021

  • Cyber Security and Cyber Crimes Act (2021)

  • Arbitration Act No. 19 of 2000

Users bear sole responsibility for compliance.


14. Anti-Money Laundering

The Platform must not be used for:

  • Money laundering

  • Terrorist financing

  • Sanctions evasion

ZFTM may report suspicious activity to authorities.


15. Intellectual Property

All Platform software, branding, and content are owned by ZAMBIAN FARM PRODUCE MARKET LIMITED or its licensors.

No reproduction or distribution is permitted without consent.


16. Data Protection

Personal data is processed in accordance with the Data Protection Act No. 3 of 2021.

17. Acceptable Use

Users may not:

  • Scrape data

  • Attack or overload systems

  • Circumvent security

  • Upload malware

Violations may result in suspension and legal referral.


18. Warranties & Disclaimers

The Platform is provided “as is.”

ZFTM does not guarantee:

  • Continuous availability

  • Error-free operation

  • That goods meet buyer expectations

Sellers are solely responsible for product quality.


19. Marketplace Liability Limitation

ZFTM acts solely as a technology intermediary.

ZFTM shall not be liable for:

  • Product defects

  • Agricultural contamination

  • Delivery delays

  • Transport damage

  • Regulatory non-compliance by sellers

  • Mobile money provider errors


20. Limitation of Liability

To the maximum extent permitted by law:

ZFTM shall not be liable for indirect, incidental, or consequential damages.

Aggregate liability shall not exceed fees paid to ZFTM by the user in the preceding three (3) months.


21. Indemnity

Users agree to indemnify ZAMBIAN FARM PRODUCE MARKET LIMITED against claims arising from:

  • Breach of these Terms

  • Misrepresentation

  • Violation of law

  • Infringement of third-party rights


22. Suspension & Termination

ZFTM may suspend or terminate accounts for:

  • Fraud

  • Policy breaches

  • Illegal activity

  • Safety risks

Accrued obligations remain enforceable.


23. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Zambia.

Disputes must first be raised via Platform support.

If unresolved within 30 days, disputes shall be referred to:

  • Mediation; and

  • Arbitration seated in Lusaka under the Arbitration Act No. 19 of 2000.

Proceedings shall be conducted in English.


24. Force Majeure

ZFTM shall not be liable for delays caused by events beyond reasonable control, including:

  • Floods, droughts, pest infestations

  • Power outages

  • Civil unrest

  • Government directives

  • Carrier or payment gateway failures

If force majeure continues beyond 60 days, obligations may be terminated without liability except for accrued amounts.


25. Miscellaneous

These Terms constitute the entire agreement.

If any provision is invalid, the remainder remains enforceable.

Failure to enforce a provision does not constitute waiver.

Users may not assign rights without consent.
